01Acceptance

Acceptance of these terms

These terms and conditions (the “Terms”) are a legal agreement between you and Vividup FZE, a company registered in Dubai, United Arab Emirates (“Vividup”, “we”, “us”, “our”). They govern your use of our mobile applications, including Vocal Remover: Music Separator on iOS and Android, of the website vividup.tech and of any related product website, content and service we provide (together, the “Service”).

By downloading, installing, accessing or using the Service you agree to be bound by these Terms, by our Privacy Policy and by all applicable laws and regulations, and you confirm that you are responsible for compliance with any local laws that apply to you. If you do not agree with any part of these Terms, you must not use the Service.

Where our apps are distributed through the Apple App Store, Apple’s Media Services Terms and Conditions and its Licensed Application End User Licence Agreement (Standard EULA) also apply. In case of conflict regarding a purchase made through Apple, Apple’s terms prevail for that purchase.

Where our apps are distributed through Google Play, the Google Play Terms of Service also apply. In case of conflict regarding a purchase made through Google Play, Google’s terms prevail for that purchase. On Android, these Terms are the end user licence agreement (EULA) for our apps.

02Eligibility

Eligibility

You must be at least 18 years old to use the Service. If you are under 18 you are not permitted to use the Service for any reason. You must also be of the legal age required in the country, state or province where you are located to enter into a binding agreement, and it is your responsibility to know whether you are legally able to use the Service.

03Licence

Licence to use the Service

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use our apps on Apple devices that you own or control, and to access the Service, for your personal, non-commercial use. The same licence applies to Android devices that you own or control on which you install our apps from Google Play. This is a licence, not a transfer of title. Under this licence you may not:

  1. modify, copy, distribute, sell, rent, lease or sublicense the Service or any part of it;
  2. use the Service or its materials for any commercial purpose or public display without our written permission;
  3. decompile, disassemble, reverse engineer or otherwise attempt to derive the source code, models or algorithms of the Service;
  4. remove any copyright, trademark or other proprietary notices;
  5. transfer the materials to another person or “mirror” them on any other server;
  6. access the Service by automated means, or interfere with its operation, security or capacity.

This licence terminates automatically if you breach any of these restrictions and may be terminated by us at any time. Upon termination you must stop using the Service and delete any copies of the apps and materials in your possession.

04Billing

Subscriptions and purchases through Apple and Google Play

Some features of our apps are available only with a paid subscription or a one-time purchase. On Apple devices, all purchases are made through Apple’s in-app purchase system and are subject to Apple’s terms. Purchases on Android are covered in the Google Play subsection below. We do not collect or store your payment details.

Auto-renewing subscriptions

  • Payment is charged to your Apple ID at confirmation of purchase.
  • Subscriptions renew automatically at the end of each period, at the price shown at the time of purchase, unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before the end of the current period.
  • You can manage or cancel your subscription at any time in your device’s Settings → [your name] → Subscriptions. Deleting the app does not cancel a subscription.
  • Cancellation takes effect at the end of the current billing period; you keep access until then. No partial refunds are given for unused periods.

Free trials and introductory offers

Where a free trial or introductory price is offered, it converts to the standard subscription price at the end of the offer period unless you cancel at least 24 hours before it ends. Any unused portion of a free trial is forfeited when you purchase a subscription. Offers are subject to Apple’s eligibility rules and may be limited to one per Apple ID.

Prices, changes and refunds

Prices are shown in the app in your local currency and may differ between countries and over time. If we change the price of an existing subscription, Apple will notify you in advance and, where required, ask for your consent before the new price applies. Refund requests are handled by Apple under its refund policy; you can submit a request at reportaproblem.apple.com. We are not able to issue refunds directly.

Purchases through Google Play (Android)

On Android, all purchases are made through Google Play’s billing system and are subject to Google’s terms. We do not collect or store your payment details.

  • Before you confirm a purchase, Google Play shows you the price, the billing period (for example weekly or monthly) and any free-trial terms. By confirming, you authorise Google Play to charge that price, plus any applicable taxes, for each period until you cancel. Payment is charged to your Google Play account at confirmation of purchase or, if your subscription starts with a free trial, when the trial ends.
  • Subscriptions continue and renew automatically at the end of each period, at the price shown at the time of purchase, until you cancel. Google Play charges each renewal at the start of the new billing period, so to avoid being charged for the next period you must cancel before the current period ends; we recommend cancelling at least 24 hours in advance.
  • You can manage or cancel your subscription at any time in the Google Play app under Payments & subscriptions → Subscriptions. Deleting the app does not cancel a subscription. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Free trials are available only to new customers, on the plans and for the length shown before you confirm your purchase (for example, a 3-day free trial on the weekly plan). You are not charged during the trial. Unless you cancel before the trial ends, your subscription starts automatically when the trial ends: your Google Play account is charged the price shown when you started the trial, plus any applicable taxes, and then again at the start of each billing period until you cancel. If you cancel during the trial, you will not be charged. Where an introductory price is offered, it converts to the standard subscription price at the end of the offer period unless you cancel before it ends. Offers are subject to Google Play’s eligibility rules and may be limited to one per Google account.
  • If we change the price of an existing subscription, Google will notify you in advance and, where required, ask for your consent before the new price applies.
  • Refund requests for purchases made through Google Play can be submitted to Google within 48 hours of the charge (for a free trial, the first charge when the trial ends) under the Google Play refund policy. After that period, contact us at info@vividup.tech and we will assess your request in accordance with these Terms and applicable law.
05Your content

Your content and copyright responsibility

Our apps let you process audio files that you choose (“Your Content”) and produce separated tracks, mixes and other results from them (“Output”). You retain all rights you hold in Your Content and in the Output. You grant us only the limited licence needed to receive, process and return Your Content to you as described in our Privacy Policy.

You are solely responsible for Your Content, for the Output and for how you use and distribute them. In particular, you confirm that:

  • you own Your Content or hold all rights, licences and permissions needed to process it with the Service, including any rights of third-party authors, performers, producers and publishers;
  • Your Content and your use of the Output do not infringe the copyright, trademark, privacy, publicity or other rights of any person and do not breach any law or contract;
  • you will use the Output only for purposes that the rights you hold allow — for example personal practice, study, karaoke or your own original productions — and not to publish, distribute, sell or monetise material derived from recordings you do not have the right to exploit.

The Service is a processing tool. We do not store, host, publish or distribute Your Content or the Output beyond what is needed to return the result to your device, and we do not review Your Content for rights clearance. We may suspend or terminate access to the Service for users who process or distribute infringing material, as set out in section 13.

06AI output

AI-generated output

The Output is produced by automated machine-learning models. It is generated without human review and may contain artefacts, missing or bleeding elements, or inaccurate lyrics, chords or timings. Results vary depending on the source material and are provided for your evaluation. Where the law requires it, the Service identifies the Output as generated or manipulated by artificial intelligence, and you must not remove or alter that identification. You are responsible for checking the Output before relying on it or distributing it.

07Conduct

Acceptable use

You agree not to use the Service:

  • in any way that breaks the law or these Terms, or that infringes the rights of others;
  • to upload material that is unlawful, harmful, or that you do not have the right to process;
  • to circumvent, disable or interfere with security, licensing or usage limits of the Service, or to share paid features with others;
  • to build a competing product, train a model, or extract data from the Service or its Output at scale;
  • to transmit malware or otherwise disrupt the Service or the infrastructure it runs on.
08Ownership

Intellectual property

The Service — including its software, models, design, text, graphics, logos and trademarks — is owned by Vividup FZE or its licensors and is protected by copyright, trademark and other intellectual property laws. Except for the limited licence in section 3, nothing in these Terms gives you any right, title or interest in the Service. “Vividup” and “Vocal Remover” and the associated logos are trademarks of Vividup FZE. Apple, iPhone, iPad and App Store are trademarks of Apple Inc. Google Play and Android are trademarks of Google LLC.

09Warranties

Disclaimer of warranties

The Service and all materials within it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, express or implied, and disclaim all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or other rights.

We do not warrant that the Service will be uninterrupted, error-free or secure, that defects will be corrected, or that the Output will meet your requirements. Any information provided on the Website or in our apps is for general informational purposes only and is given in good faith; we make no representation or warranty regarding its accuracy, adequacy, validity, reliability, availability or completeness. Your use of the Service and any reliance on it is solely at your own risk.

10Liability

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIVIDUP FZE, ITS DIRECTORS, EMPLOYEES, CONTRACTORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE OR GOODWILL, OR FOR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE OR AN AUTHORISED REPRESENTATIVE HAVE BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE.

Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the amount you paid to Apple for the Service in the twelve months preceding the event giving rise to the claim, or fifty US dollars (USD 50), whichever is greater. For purchases made through Google Play, the amount you paid to Google in the same period counts in the same way.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or any statutory rights you have as a consumer that cannot be waived.

11Accuracy

Accuracy of materials

The materials appearing in the Service could include technical, typographical or photographic errors. We do not warrant that any of the materials in the Service are accurate, complete or current. Vividup FZE may change the materials contained in the Service at any time without notice, but does not commit to updating them.

12Third parties

Links and third-party services

The Service may contain links to websites, content or services belonging to third parties, or you may be directed to them through the Service. We have not reviewed all such sites and are not responsible for their contents, accuracy, availability or practices. The inclusion of a link does not imply endorsement by us. Use of any linked website or third-party service is at your own risk and subject to that third party’s terms, and we will not be a party to or responsible for any transaction between you and a third-party provider of products or services.

13DMCA

Copyright policy (DMCA)

Vividup FZE (the “Company”) respects intellectual property rights and complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512, and equivalent laws.

  1. Designated Agent. The Company’s designated agent to receive notifications of claimed infringement is registered with the U.S. Copyright Office (DMCA Designated Agent Registration No. DMCA-1075993). Notifications should be sent to: Copyright Agent, Vividup FZE, Office 412-9 TEC, Floor 03, The Offices 3 – One Central, Dubai World Trade Centre, Dubai, United Arab Emirates; phone: +1 917 905 6105; email: copyright@vividup.tech.
  2. Notice. A notification must include the elements required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, identification of the material claimed to be infringing, contact information, a good-faith statement, a statement of accuracy under penalty of perjury, and a physical or electronic signature.
  3. Action. Upon receipt of a compliant notice, the Company will promptly remove or disable access to the identified material and take reasonable steps to notify the affected user. The Company may also disable the relevant feature, in whole or in part, pending investigation.
  4. Counter-notification. An affected user may submit a counter-notification meeting the requirements of 17 U.S.C. § 512(g).
  5. Repeat infringers. The Company will terminate, in appropriate circumstances, access to the Service for users determined to be repeat infringers.
14Termination

Termination

You may stop using the Service at any time by deleting the app; any active subscription must be cancelled separately through your Apple ID settings or, on Android, in your Google Play subscriptions. We may suspend or terminate your access to the Service, without notice, if you breach these Terms, if we are required to do so by law, or if we discontinue the Service or a feature of it. Sections 5, 8, 9, 10, 13 and 16 survive termination.

15Changes

Changes to these terms

We may revise these Terms at any time. The date at the top of the page shows when they were last updated. If a change materially reduces your rights, we will give reasonable notice in the app or on the Website before it takes effect. By continuing to use the Service after a change, you agree to be bound by the then-current version of these Terms.

16Law

Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, and you irrevocably submit to the exclusive jurisdiction of the courts of Dubai for any dispute arising out of or relating to them. If you are a consumer residing in a country whose law grants you mandatory protections or the right to bring proceedings in your local courts, nothing in this section deprives you of those protections.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with the Privacy Policy and the applicable terms of Apple and Google, constitute the entire agreement between you and Vividup FZE regarding the Service.
